These Terms of Service (“Terms”) govern your access to and use of Wingman, a software-as-a-service platform operated by Wingman (“we”, “us”, “Wingman”). By creating an account or using the service, you agree to these Terms.
1. The Service
Wingman provides automated marketing tools, including AI-driven lead discovery, contact data enrichment, and email composition and delivery. The service includes the right to send transactional and conversational emails on your behalf to recipients you have a legitimate business relationship with.
2. Your account
You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must provide accurate, current, and complete registration information. You must be at least 18 years old to use the service.
3. Acceptable use
Your use of Wingman is subject to our Acceptable Use Policy, which is incorporated into these Terms by reference. In summary, you may not use Wingman to:
- Send unsolicited bulk email (spam) or violate CAN-SPAM, GDPR, or applicable laws
- Send to recipient lists that were purchased, scraped without consent, or otherwise improperly obtained
- Send harmful, deceptive, harassing, or unlawful content
- Impersonate any person or organization
- Reverse engineer, scrape, or interfere with the service
4. Email sending obligations
You acknowledge that you are the sender of all email sent through your Wingman account and are responsible for compliance with applicable anti-spam laws. Wingman provides infrastructure that:
- Verifies recipient addresses before sending
- Maintains an automatic suppression list for unsubscribes, bounces, and complaints
- Provides an unsubscribe landing page for opt-out handling
- Honors STOP/UNSUBSCRIBE replies automatically
You agree not to override or circumvent these compliance mechanisms.
5. Subscription, billing, and refunds
Paid plans are billed monthly or annually in advance and renew automatically. You may cancel at any time; cancellation takes effect at the end of the current billing period. Fees paid are non-refundable except as required by law.
6. Your data and content
You retain all rights to data you provide or generate through Wingman, including lead data, custom collections, and email content. We process this data only as necessary to provide the service, as described in our Privacy Policy. You grant Wingman a limited license to use your data solely to operate the service on your behalf.
7. Service availability
We strive to keep Wingman available 24/7, but we do not guarantee uninterrupted access. The service may be modified, suspended, or discontinued at any time. We will provide reasonable notice of material changes that affect paid users.
8. Termination
We may suspend or terminate your account immediately if you violate these Terms or our Acceptable Use Policy, particularly for behavior that damages sender reputation or violates anti-spam law. You may close your account at any time by contacting support.
9. Disclaimers
WINGMAN IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION. EMAIL DELIVERY DEPENDS ON THIRD-PARTY MAIL PROVIDERS AND CANNOT BE GUARANTEED.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WINGMAN’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM. WINGMAN IS NOT LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES.
11. Indemnification
You agree to indemnify and hold Wingman harmless from any claims arising from your use of the service in violation of these Terms, including claims related to email content, recipient consent, or sender list practices.
12. Changes to these Terms
We may update these Terms periodically. Material changes will be communicated via email or in-app notification at least 30 days before taking effect for paid users.
13. Governing law
These Terms are governed by the laws of the United States and the state in which Wingman is incorporated, without regard to conflict of law principles.
